1. Agreement to Terms
By accessing and using the VOL AI Services provided by VOL Space, Inc. ("VOL AI," "we," "us," or "our"), including the website volai.app, our AI corporate knowledge base web-app, and any associated services or tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree with these Terms or the Privacy Policy, please do not access or use the Services.
2. Changes to Terms
We reserve the right to modify or update these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. You are encouraged to periodically review these Terms to stay informed of updates. Your continued use of the Services after the date such revised Terms are posted constitutes your acceptance of the changes.
3. Account Creation and Security
To access and use certain features of the Services, you may be required to create an account ("Account"). You agree to provide accurate, current, and complete information during Account registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your Account credentials and for any activities that occur under your Account. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security.
4. License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes only. You agree not to use the Services for any other purpose, including any commercial purpose, without our express prior written consent.
5. Intellectual Property Rights
All content, features, and functionality of the Services, including without limitation, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by VOL AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services, except as authorized by these Terms or with our express prior written consent.
6. User Content
You are solely responsible for any content, data, or information you submit, post, or otherwise provide to the Services, including, without limitation, any comments, suggestions, ideas, questions, or other information ("User Content"). You represent and warrant that you have all necessary rights to submit, post, or otherwise provide any User Content and that such User Content does not infringe upon any intellectual property rights or violate any applicable laws or regulations. By submitting, posting, or otherwise providing User Content to the Services, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any form, format, or medium.
7. Prohibited Uses
You agree not to use the Services in any manner that:
(a) Violates any applicable federal, state, local, or international law or regulation;
(b) Infringes upon or violates any intellectual property rights or any other rights of any other person or entity;
(c) Harasses, threatens, or otherwise causes distress to any other person or entity;
(d) Constitutes or promotes any illegal activity, or advocates, promotes, or assists any unlawful act;
(e) Introduces any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
(f) Gains unauthorized access to, interferes with, damages, or disrupts any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
(g) Attempts to decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services;
(h) Uses the Services for any purpose or in any manner that, in our sole discretion, could damage, disable, overburden, or impair the Services, or interfere with any other party's use and enjoyment of the Services;
(i) Uses any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services;
(j) Engages in any form of data mining, data scraping, data extraction, or any other similar activity in relation to the Services.
8. Suspension and Termination
We reserve the right, in our sole discretion, to suspend or terminate your access to the Services, including your Account, without notice and for any reason, including, but not limited to, your violation of these Terms. Upon termination, your right to use the Services will immediately cease, and we may delete or remove any User Content associated with your Account.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
IN NO EVENT SHALL VOL AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THE SERVICES, ANY CONTENT ON THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
11. Indemnification
You agree to indemnify, defend, and hold harmless VOL AI, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any User Content you submit, post, or otherwise provide to the Services.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Waiver and Severability
No waiver by VOL AI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of VOL AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
14. Entire Agreement
These Terms and our Privacy Policy constitute the sole and entire agreement between you and VOL AI with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
